Technology assets often change hands as companies seek;

- to address new markets
- to gain access to competing technology as part of a wider Merger and Acquisitions activity.
As part of the acquisition process due diligence is required and in some legal systems failure to make this effort may be considered negligence!
The acquiring Company may not have the detailed technical expertise required or may wish not to involve their own staff and seek an independent expert.
